Terms of Service

These Terms govern your use of Frame Controller (the “Service”), operated by Galaxy Navigation LLC (“we,” “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

1. Eligibility & accounts

You must be at least 13 years old to use the Service. You’re responsible for your account, keeping your login secure, and all activity under it. Provide accurate information and keep it current.

2. The Service

Frame Controller lets you upload or import video, edit it (including with AI features), and create and share outputs. We may change, suspend, or discontinue features at any time.

3. Subscriptions, billing & credits

Paid plans (currently Creator and Studio) are billed in advance through our payment processor (Stripe) and renew automatically until cancelled. Some features consume credits as described in the Service. You can cancel anytime; cancellation takes effect at the end of the current billing period, and access continues until then. Except where required by law, payments are non-refundable. We may change pricing with notice for future billing periods.

4. Your content

You keep ownership of the content you upload, import, or create (“Your Content”). You grant us a limited license to host, store, process, transmit, and display Your Content solely to operate, provide, secure, and improve the Service. This is not a transfer of ownership. You are solely responsible for Your Content and confirm you have the rights to use it and to let us process it as described.

5. Acceptable use

You agree not to use the Service to upload, create, share, or distribute content that:

  • is illegal, or infringes anyone’s intellectual property, privacy, or other rights;
  • is child sexual abuse material (CSAM) or exploits minors;
  • is harassing, abusive, threatening, hateful, or violent; or
  • contains malware or attempts to compromise security.

You also agree not to: abuse, scrape, or overload the Service; circumvent usage limits, credits, or access controls; resell or sublicense the Service without our written permission; or use it to violate any law.

We may remove content and suspend or terminate accounts that violate these Terms. We report child sexual abuse material to the National Center for Missing & Exploited Children (NCMEC) as required by law (18 U.S.C. § 2258A).

6. Copyright & DMCA

We respect intellectual-property rights and respond to valid notices under the Digital Millennium Copyright Act.

To report infringing content, send a notice to our designated agent, Josh Terry, at support@framecontroller.com, including: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the infringing material and its location (e.g., the URL); (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and you are authorized to act.

Counter-notice: if your content was removed and you believe it was a mistake, you may submit a counter-notice with the elements required by 17 U.S.C. § 512(g). Repeat infringers’ accounts will be terminated. Our designated agent is registered with the U.S. Copyright Office (Designated Agent Registration #DMCA-1074908).

7. AI features

AI-generated edits and outputs are provided as is and may be inaccurate, unexpected, or unsuitable for your purpose. You are responsible for reviewing outputs and for how you use them. We make no guarantee that outputs are original, error-free, or non-infringing.

8. Our intellectual property

The Service, including its software, design, and trademarks, belongs to us or our licensors. These Terms grant you no rights to it except to use the Service as permitted.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content will not be lost.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US $100. Some jurisdictions don’t allow these limits, so some may not apply to you.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or others. On termination, your right to use the Service ends; sections that by their nature should survive (e.g., content licenses already granted, disclaimers, liability limits, indemnity) survive.

13. Changes

We may update these Terms. If we make material changes, we’ll provide reasonable notice (e.g., by email or in the Service). Continued use after changes take effect means you accept them.

14. Governing law & dispute resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.

Try informal resolution first. Before starting a formal claim, you agree to contact us at support@framecontroller.com so we can try to resolve it. Most disputes can be settled this way.

Binding individual arbitration. Except for the carve-outs below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its applicable consumer rules, rather than in court. The arbitrator will decide the dispute, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and we agree to bring claims only in an individual capacity, and not as a plaintiff or member of any class, collective, or representative action. The arbitrator may not consolidate more than one person’s claims.

Carve-outs. Either party may instead bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive relief in court for intellectual-property or unauthorized-access claims.
